• Advised Season Pacific Holdings Limited on its Hong Kong IPO, supply chain management total Represented Qingdao Port International Co., Ltd. in the formation of a joint venture involving, among others, COSCO Container Lines (Hongkong) Co., Ltd., Hapag-Lloyd AG, Hutchinson Ports GSBN Ltd., and Orient Overseas Container Line Limited.
• Represented China Regenerative Medicine International Limited, whose shares are listed on the HKEx, in subscribing for certain interest in Haitong International ZhongHua Finance Acquisition Fund I, L.P. (investment commitment was approximately USD75 million).
• Represented Sanju Environmental Protection (Hong Kong) Limited, in the subscription of shares in Jutal Offshore Oil Services Limited, a company whose shares are listed on the HKEx (involved the Takeovers Code and the subscription amount was approximately HKD770 million).
• Represented China Molybdenum Co., Ltd., a company whose shares are listed on the HKEx and the Shanghai Stock Exchange, in its acquisition of Anglo American plc’s niobium and phosphates businesses (consideration was USD1.5 billion, the transaction constituted a major transaction under HKEx and a material assets reorganisation under SSE).
• Represented China Molybdenum Co., Ltd. in its acquisition of Freeport-McMoRan Inc.’s copper and cobalt businesses. (consideration was USD2.65 billion, the transaction constituted a very substantial acquisition under HKEx and a material assets reorganisation under SSE).
• Represented China Minsheng Financial Holding Corporation Limited (formerly known as China Seven Star Holdings Limited), a company whose shares are listed on the HKEx in the issuance of its shares to China Minsheng Investment Corporation Limited (involved the Takeovers Code and the subscription amount was approximately HKD500 million).

Capital Markets

• Advised LY Capital and KGI Capital Asia on the listing on the GEM of the HKEx by Sheung Moon Holdings Limited.
• Advised Dong Fang International Asset Management Limited in the issuance of US$200 million fixed rate asset backed notes.
• Advised Frontpage Capital on the listing on the GEM of the HKEx by Alpha Era International Holdings.
• Advised China CNR on its US$1.2 billion initial public offering and listing on the HKEx.
• Advised Century Energy Holding on its proposed listing initial public offering and listing on the HKEx.
• Advised Fosun Pharma on its US$512 million initial public offering and listing on the HKEx.
• Advised BOC International on the US$570 million initial public offering by Xinjiang Xinxin Mining Industry Company on the HKEx.

Funds Formation

• Assisted on the formation of an infrastructure fund, Equis Funds Group.
• Advised on an Asian infrastructure fund of a major Chinese insurance group.
• Assisted on the formation of an infrastructure and real estate investment fund, Asia Resources Capital.
• Advised Apax Partners with the restructuring of one of its funds involving the creation of a side vehicle acquired by China Investment Corporation.
• Advised Pantheon, one of the largest fund of fund managers, on the successful fund raising of Pantheon Asia Fund.
• Advised Electra Partners, Apax Partners and Yuanta Assets on formation of various funds.
• Advised Northwestern Capital LLC on the formation of Northwestern Fund.
